Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between Salvatech Corp and its affiliates and subsidiaries (collectively, "Salvatech," "we," "us," or "our") and any individual or entity ("User," "you," or "your") that accesses or uses any of Salvatech's services, digital properties, tools, or resources, including the website, the salary calculator, any workforce management platform, or any other service made available by Salvatech through any channel, whether digital, electronic, or otherwise (the "Services").

By accessing or using the Services, you represent that you have read, understood, and agree to be bound by these Terms, together with Salvatech's Privacy Policy and Cookie Policy, each of which is incorporated herein by reference. If you do not agree, you must not access or use the Services. If you are accessing the Services on behalf of a legal entity, you represent and warrant that you have authority to bind such entity to these Terms.

These Terms are in addition to and complement any agreement executed between you and us. We reserve the right to amend these Terms at any time. When we do, we will revise the effective date above. Your continued use of the Services after we publish changes means that you are consenting to the updated Terms.

The following terms have the meanings set forth below throughout these Terms:

• "Salvatech": Salvatech Corp and its affiliates and subsidiaries.
• "Client": any company or entity that has engaged Salvatech for the provision of Services under a commercial agreement, regardless of the channel through which that engagement was initiated or formalized.
• "Resource": a professional whose engagement with a Client is coordinated by Salvatech directly or through its authorized network, in accordance with applicable law in the relevant jurisdiction.
• "Partner": any individual or entity that participates in Salvatech's referral program or maintains a commercial alliance or collaboration agreement with Salvatech, including but not limited to referral partners, sales partners, and business development allies.
• "Services": the full scope of services provided by Salvatech through any channel or means, whether currently offered or introduced in the future.
• "Platform": any digital tool, system, or interface operated by Salvatech to facilitate the delivery of the Services, whether currently existing or introduced in the future.
• "User Content": any information, data, or materials that a User uploads, submits, provides, or otherwise makes available through the Services by any means.

Salvatech provides workforce coordination, talent management, and related services that enable Clients to engage professional talent across multiple markets in compliance with applicable local law. Salvatech acts as service coordinator between Clients and the authorized third parties engaged to support delivery of the Services in the applicable jurisdiction.

The specific commercial terms governing the Services are set forth in the applicable Master Services Agreement or equivalent commercial agreement executed between Salvatech and the Client. These Terms are in addition to and complement — and do not modify — any such commercial agreement.

You agree to use the Services solely for lawful purposes and in accordance with these Terms, applicable law, and the rights of third parties. The following conduct is expressly prohibited:

• Uploading, transmitting, or distributing content that is unlawful, harmful, fraudulent, defamatory, harassing, or otherwise objectionable.
• Attempting to gain unauthorized access to any part of the Services, other user accounts, or the systems, networks, or data of Salvatech or its affiliates.
• Introducing any virus, malware, ransomware, or other harmful or disruptive code into the Services.
• Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code or underlying logic of any software or system forming part of the Services.
• Extracting, scraping, or harvesting data from the Services by automated means without Salvatech's prior written consent.
• Impersonating any person or entity, or falsely representing any affiliation.
• Using the Services to transmit unsolicited commercial communications or any content that violates applicable anti-spam or consumer protection laws.
• Interfering with, disrupting, or compromising the integrity, performance, or security of the Services or any related systems.
• Using the Services in any manner that damages or is likely to damage the reputation of Salvatech, its affiliates, Clients, Resources, or Partners.
• Sublicensing, sharing, selling, or transferring access to the Services to any unauthorized third party.

Salvatech reserves the right to suspend or permanently terminate access to the Services for any user whose conduct violates this Acceptable Use Policy or these Terms, without prior notice and without liability.

In your use of the Services, you may upload, submit, provide, or otherwise make available information, data, or materials ("User Content"). By making User Content available through the Services, you grant Salvatech a worldwide, transferable, and sublicensable right to use, copy, process, and store such User Content to the extent necessary to provide the Services, without further consent or compensation.

You are solely responsible for the User Content you make available. You agree that we may access, store, and use any information you provide in accordance with our Privacy Policy. Salvatech is not responsible for reviewing or monitoring User Content and does not guarantee its accuracy, integrity, or quality. Any loss or damage arising from User Content you make available is solely your responsibility. Salvatech reserves the right, but not the obligation, to remove any User Content at its sole discretion.

Information made available through the Services — whether through digital tools, written communications, email, messaging platforms, or any other channel — including engagement terms, compensation details, operational data, Client business information, Partner referral data, and Resource personal data, is confidential. Users agree not to disclose, reproduce, or use such information for any purpose other than the legitimate use of the Services as intended.

Client Users and Partner Users shall not share access credentials or confidential service information with unauthorized parties. Resource Users shall have access only to information pertaining to their own engagement.

All content, features, software, design elements, trademarks, trade names, and other intellectual property associated with the Services are the exclusive property of Salvatech Corp, its affiliates and subsidiaries, or their respective licensors, and are protected by applicable intellectual property laws. No right, title, or interest in any intellectual property of Salvatech is transferred to you by virtue of these Terms or your use of the Services.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for their intended purpose and in strict compliance with these Terms. Any unauthorized use, reproduction, modification, or distribution of Salvatech's intellectual property is strictly prohibited.

The Services may integrate with, reference, or link to third-party websites, tools, platforms, or services that are not operated or controlled by Salvatech. Salvatech does not endorse and is not responsible for the content, accuracy, security, terms, or practices of any such third-party service. Your use of third-party services is at your own risk and governed by the terms and privacy policies of the relevant third party.

To the extent Salvatech uses third-party payment processors to facilitate payment transactions in connection with the Services, such processors operate independently and collect, process, and store payment and financial information directly on their own systems. Salvatech does not collect, store, control, or have access to sensitive payment information such as credit card numbers, bank account numbers, or equivalent financial credentials. Salvatech expressly disclaims all liability in connection with the collection, processing, storage, transmission, or security of payment information by any third-party payment processor, including but not limited to any liability arising from unauthorized transactions, data breaches, system failures, or errors attributable to such processors. The processing of payment information is governed exclusively by the terms of service and privacy policy of the applicable payment processor, and users are solely responsible for reviewing and accepting those terms.

Your use of the Services is subject to Salvatech's Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference and available at our website. By using the Services, you consent to the collection and processing of your personal information in accordance with those policies, regardless of the channel through which such information is provided.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. SALVATECH MAKES NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SALVATECH EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SALVATECH MAKES NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE SERVICES, ACTIONS, OR OMISSIONS OF ANY INDEPENDENT THIRD PARTY ENGAGED IN CONNECTION WITH THE PROVISION OF THE SERVICES.

Any informational content, tools, or calculators made available through the Services are provided for general informational purposes only and do not constitute legal, tax, financial, or employment advice.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SALVATECH AND ITS AFFILIATES AND SUBSIDIARIES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, AND EMPLOYEES, SHALL NOT BE LIABLE TO ANY USER OR THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF OR INABILITY TO USE THE SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY.

SALVATECH IS NOT LIABLE FOR ANY DAMAGES, LOSSES, OR LIABILITIES ARISING FROM THE ACTS OR OMISSIONS OF INDEPENDENT THIRD PARTIES ENGAGED IN CONNECTION WITH THE PROVISION OF THE SERVICES, WHETHER OR NOT SALVATECH WAS ADVISED OF THE POSSIBILITY OF SUCH ACTS OR OMISSIONS.

SALVATECH'S TOTAL AGGREGATE LIABILITY ARISING UNDER OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL SERVICE FEES PAID BY YOU TO SALVATECH IN THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, EXCLUDING ANY PASS-THROUGH COSTS, REIMBURSEMENTS, OR THIRD-PARTY CHARGES; OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).

The foregoing limitations shall apply whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if Salvatech has been advised of the possibility of such damage, and to the fullest extent permitted by applicable law.

You agree to indemnify, defend, and hold harmless Salvatech Corp and its affiliates and subsidiaries, and their respective officers, directors, employees, and agents, from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses — including reasonable attorneys' fees — arising out of or relating to: (a) your access to or use of the Services through any channel; (b) your breach of any provision of these Terms; (c) your violation of any applicable law, regulation, or third-party right; or (d) any User Content you submit or make available through the Services.

Salvatech reserves the right to modify, update, suspend, or discontinue any aspect of the Services at any time and for any reason, with or without notice. Salvatech shall not be liable to any user or third party for any such modification, suspension, or discontinuation.

These Terms are effective from the date you first access the Services and shall remain in full force until terminated. Salvatech may terminate or suspend your access to the Services at any time, with or without cause and with or without notice, including in the event of a breach of these Terms. Upon termination, all rights granted to you under these Terms shall immediately cease.

Sections 6, 7, 8, 10, 11, 12, 13, 16, and 17 shall survive any termination.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services that cannot be resolved through good faith negotiation shall be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with the seat of arbitration in Miami, Florida, conducted in English. Either party may seek injunctive or equitable relief from any court of competent jurisdiction to prevent irreparable harm or to protect intellectual property rights, without waiving the right to arbitration.

• Amendments. Salvatech reserves the right to amend these Terms at any time. Material changes will be communicated through appropriate channels and will take effect as of the updated effective date. Continued use of the Services constitutes acceptance of the revised Terms.
• Severability. If any provision of these Terms is held invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force.
• Entire Agreement. These Terms, together with Salvatech's Privacy Policy, Cookie Policy, and any applicable Master Services Agreement, constitute the entire agreement between you and Salvatech regarding the Services and supersede all prior agreements and understandings.
• No Waiver. Salvatech's failure to enforce any provision of these Terms shall not constitute a waiver of its right to enforce such provision at any time.
• Assignment. You may not assign or transfer any rights or obligations under these Terms without Salvatech's prior written consent. Salvatech may assign its rights and obligations to any affiliate or in connection with a merger, acquisition, or sale of assets without restriction.
